   Paul Brain has more than 20 years of experience representing business clients in complex commercial litigation with a focus on the real estate development industry.  He has substantial experience with disputes involving business and real estate valuations, minority shareholder, partner and LLC member agreements, title and title insurance coverage issues, land use and development entitlements, construction issues, commercial contracts and real estate purchase and sale agreements.  Paul is also experienced in employment, finance and bankruptcy disputes.

   Paul has successfully represented groups of accredited investors asserting securities fraud claims arising from private placements of securities in relation to failed real estate developments, proposed electrical co-generation facilities, franchise restaurants, wireless communications and cordless appliances.  His representation in a disputed valuation of a family-held asset holding company established new valuation standards for business valuations under Washington’s dissenters’ rights statute.
